These Terms of Service (“Terms”) govern your access to and use of SabiRecord (“Service”), an inventory, point-of-sale, and business management platform operated by EMOEFE Digitals (“we”, “us”, “our”).
By registering for an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.
1. The Service
SabiRecord helps product businesses track inventory, record sales, manage sales teams, run reports, and collect payments including credit sales. Features available to you depend on your subscription plan. We may add, change, or discontinue features with reasonable notice where practicable.
2. Accounts and workspaces
- You must provide accurate registration information and keep your credentials secure.
- Each workspace belongs to a business account. Owners are responsible for users they invite and for activity under their workspace.
- You must not share accounts in a way that bypasses plan limits or compromises security.
- We may suspend or terminate accounts that violate these Terms or pose a security or abuse risk.
3. Acceptable use
You agree not to:
- Use the Service for unlawful purposes or to store illegal content
- Attempt to gain unauthorized access to other workspaces, systems, or data
- Reverse engineer, scrape, or overload the Service except as permitted by law
- Upload malware or interfere with other users’ access
- Misrepresent your identity or affiliation
4. Your business data
You retain ownership of the business data you enter (products, sales, customers, notes, etc.). You grant us a limited license to host, process, back up, and display that data solely to provide and improve the Service.
You are responsible for the accuracy of your records and for complying with applicable laws when selling on credit, collecting customer information, or issuing receipts.
5. Subscriptions and billing
- Paid plans renew according to the billing cycle shown at checkout unless cancelled.
- Prices and plan limits are described on our pricing page and may change with notice for future billing periods.
- Payments are processed by Paystack. Failed payments may result in restricted access until resolved.
- Refunds are handled according to our billing policy and applicable consumer protection laws.
6. Free plans and trials
Free and trial plans may have usage limits (products, users, exports, reports, etc.). We may modify free-tier limits to keep the Service sustainable, with reasonable notice when changes materially affect you.
7. Offline and PWA use
The Service may work offline for certain sales workflows. Offline data syncs when connectivity returns. You are responsible for reconciling offline sales and ensuring devices used for the Service are reasonably secured.
8. Support and impersonation
Authorized platform support staff may access your workspace only through our documented impersonation process when you request help or when required to resolve a critical issue. Such access is logged.
9. Intellectual property
The Service, including software, design, branding, and documentation, is owned by us or our licensors. These Terms do not grant you any rights to our trademarks or source code except as needed to use the Service.
10. Disclaimers
The Service is provided “as is” and “as available”. We do not guarantee uninterrupted or error-free operation. We are not responsible for business decisions you make based on reports, stock levels, or sales data in the Service.
11. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months before the claim arose, or one hundred US dollars (USD $100) if you use a free plan.
12. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of the Service, your business data, your violation of these Terms, or your violation of any law or third-party rights.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or extended inactivity. Upon termination, your right to use the Service ends; we may delete or retain data as described in our Privacy Policy.
14. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of courts in Nigeria, unless mandatory local consumer protection laws provide otherwise.
15. Changes
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Material changes may also be communicated by email or in-app notice. Continued use after changes constitutes acceptance.
